Accepting the ChargePoint® Master Services Subscription Agreement between the City of Saint Paul and Coulomb Technologies, Inc.

WHEREAS, the City of Saint Paul (the “City”) is committed to opportunities to make Saint Paul one of the most sustainable cities in the United States; and

WHEREAS, the City of Saint Paul received $2,767,000 of one time funding from the U.S. Department of Energy’s (DOE) EECBG Program, with $286,000 designated primarily for the purchase and installation of electric vehicle charging stations in Saint Paul; and

WHEREAS, the State of Minnesota qualified under Contract Release: E 108(5) four vendors of electric vehicle charging stations which the City of Saint Paul can purchase from with fixed terms and pricing; and

WHEREAS, after careful evaluation of the eligible products, the City of Saint Paul decided to purchase from two vendors, Eaton-Werner and Carbon Day Automotive (also and hereinafter referred to as “Coulomb Technologies, Inc.”) and will be installing their charging stations at about fifteen locations throughout the City; and

WHEREAS, the Coulomb Technologies, Inc. stations and software can only be managed through its ChargePoint® Network service, at an annual fee of $140.00 per year (which has been waived for Saint Paul for the first two years) and requiring the execution of a Master Services Subscription Agreement between the City of Saint Paul and Coulomb Technologies, Inc.; and

WHEREAS, the City of Saint Paul desires to enter into a Master Services Subscription Agreement with Coulomb Technologies, Inc. for management and operation of the stations and have agreed to all material terms thereto; now, therefore, be it
