Approving the Saint Paul Neighborhood Network Bylaws as amended by its Board of Directors on March 8, 2011.
Body
WHEREAS, the cable franchise agreement with Comcast of St. Paul, Inc. provides that the City may designate a non-profit entity, hereinafter referred to as the "Designated Entity," or entities to manage public and educational access and community programming on the local cable television system; and
WHEREAS, a contract for services (Performance Agreement) between the City of Saint Paul and the Saint Paul Neighborhood Network, hereinafter referred to as "SPNN," outlines the duties, responsibilities and obligations of the parties, and which names SPNN as the Designated Entity and is in effect from January 1, 2011 - December 31, 2011; and
WHEREAS, on March 8, 2011 SPNN's Board of Directors amended SPNN's By-Laws to allow for both a greater Board representation by expanding the number of Directors from nine (9) to twelve (12) and a more efficient process to select Directors to the Board; and
WHEREAS, per Article X, Sec. 3 of SPNN's By-Laws states that, "Any amendments shall not become effective until they are approved by the St. Paul City Council."; and
WHEREAS, a strikethrough copy of the proposed March 8, 2011 amended By-Laws is attached for review by the City Council reflecting the changes adopted by the SPNN Board of Directors; and
WHEREAS, the City of Saint Paul concurs with March 8, 2011 By-Laws amendment; therefore, be it
RESOLVED, that SPNN's March 8, 2011 By-Laws are hereby approved as amended.
