Authorizing the Department of Parks and Recreation to enter into a Limited License Agreement with WSB LLC and provide indemnification for WSB LLC for use of consultant’s electronic documents for The Heights project.
Body
WHEREAS, the City of Saint Paul, Department of Parks and Recreation, wishes to enter into the attached agreement to receive electronic copy of base plan documents for The Heights Development CITY PARK parcel in the City of Saint Paul; and
WHEREAS, the City requires these documents to start community engagement and conceptual design so that timing of construction of the park aligns as closely as possible with residents moving in; and
WHEREAS, the agreement requires that the City grant WSB LLC indemnification for use of said documents as well as hold WSB LLC harmless from all claims that may arise from the use of AutoCAD files from the grading and infrastructure construction plans for the land designated in the Heights Development plat as CITY PARK parcel; and
WHEREAS, such receipt of and use of the AutoCAD files that include the most up to date information on the locations of roads, curbs, sidewalks, utilities, trees to remain, existing and proposed topography spot elevations, grades, and slopes will be used for the first phase of conceptual design of the CITY PARK parcel; and
WHEREAS, the future phases of design will require an updated survey to serve as the base drawing for detailed construction documents; now, therefore, be it
RESOLVED, that appropriate City authorities are hereby authorized to enter into the attached agreement with WSB LLC, which includes a promise of indemnification in order to provide AutoCAD drawings for the CITY PARK and adjacent roadways.
