Title

Authorizing the City to enter into an agreement with Fonticons, Inc. for use of their Font Awesome Pro license through the Web Store at fontawesome.com. 

 

Body

WHEREAS, the Office of Technology and Communications (OTC) is implementing a Standard Icon Library for StPaul.gov for use by City website editors; and

 

 

 

WHEREAS, OTC has determined that various department business requirements make it desirable to use the Font Awesome icon library in order to enrich and standardize content across the City’s website; and

 

 

 

WHEREAS, the Font Awesome Pro License is required for the City to use the full variety of icons to ensure that website editors can select topical icons for their department content; and 

 

 

 

WHEREAS, one of the terms is an indemnification clause which requires the City to  “indemnify, defend, and hold harmless the Company, its officers, employees, agents, successors, and assigns, against all claims and suits by third parties for damages, injuries to persons (including death), damage to property, loses, and expenses including reasonable attorney’s fees, arising out of or from Customer’s use of Company’s products and services, including all acts by Customer pursuant to this agreement”; and

 

 

 

WHEREAS, the Font Awesome icon library is a major component in the way OTC wishes to improve the experience for constituents on StPaul.gov increasing the consistency of the website’s interface and look and feel; and

 

 

 

WHEREAS, the City Council finds that the promise of indemnification is appropriate to obtain the optimal icon library solution for the City’s website; and

 

 

 

WHEREAS, the Font Awesome Pro License also requires that any litigation be subject to Arkansas law and venue, and the City Attorney’s Office has advised that it will accept the restriction if the Office of Technology and Communications accepts responsibility for any additional costs associated with the choice of venue; now, therefore, be it

 

 

 

RESOLVED, that the Office of Technology and Communications is authorized to accept the Terms of Use for Fonticons, Inc. Font Awesome Pro License.
