Approving the execution of the fourth amendment to the second agreement with the RiverCentre Convention and Visitors Authority.

WHEREAS, pursuant to authority granted by 2005 Minn. Laws, Chapter 152, Article 1, Sections 1 and 38, the Saint Paul City Council in 2005 adopted a resolution authorizing the City of Saint Paul (the “City”) to enter into a contract with the Saint Paul RiverCentre Convention and Visitors Authority (the “Authority”), to equip, maintain, manage, and operate the Saint Paul RiverCentre and to market and promote the city of Saint Paul as a tourist and convention destination; and

 

WHEREAS, the City entered into a three (3) year agreement (the “First Agreement”) with the Authority on September 30, 2005; and

 

WHEREAS, the term of the First Agreement expired on December 31, 2008; and

 

WHEREAS, the City entered into a Second Agreement with the Authority on January 1, 2009, which was thereinafter amended and extended three times (collectively, the “Second Agreement”); and

 

WHEREAS, the term of the Second Agreement, as amended, is set to expire on December 31, 2021; and

 

WHEREAS, the City and the Authority wish to extend the Second Agreement for another three (3) years with a Fourth Amendment to the Second Agreement (the “Fourth Amendment,” attached to this Resolution), effective as of January 1, 2022, the terms and conditions of which will be substantially similar to those already contained in the Second Agreement, on file with the Office of Financial Services; now, therefore, be it

 

RESOLVED, that the City Council of the City of Saint Paul hereby:

 

1.                     Approves and authorizes execution of the Fourth Amendment; and

2.                     Authorizes the proper City officials, staff, and legal counsel to take all actions necessary to implement this Resolution, and authorizes the execution of all necessary documents, consents, and instruments in connection therewith.
