Authorizing the execution of a Joint Powers Agreement with the Port Authority of the City relating to the EAB Project.

WHEREAS, on June 9, 2021, the City Council of the City of Saint Paul, Minnesota (the “City”) adopted RES 21-849 (the “Prior Resolution”) and authorized City staff to negotiate a joint powers agreement with the Port Authority of the City of Saint Paul (the “Port Authority”) relating to the financing and administration of a project consisting of removing and replacing of approximately 13,000 ash trees located on City boulevards, public right of way, and other City land (the “EAB Project”) that have been adversely affected by the Emerald Ash Borer (“EAB”); and
WHEREAS, the City staff and staff of the Port Authority of the City have negotiated a joint powers agreement (the “Joint Powers Agreement”), to be dated on or about October 26, 2021, between the City and the Port Authority relating to the EAB Project, the issuance of EAB Bonds and administration of the EAB Project; and
WHEREAS, the form of the Joint Powers Agreement is attached to this Resolution as Exhibit A and on file with the City as of this date: now, therefore, be it
RESOLVED by the Council of the City of Saint Paul, Minnesota, as follows:
1. The Joint Powers Agreement is hereby approved in substantially the form attached and now on file with the City, with such necessary and appropriate variations, omissions, and insertions as do not materially change the substance thereof.

2. The proper City officials are hereby authorized to execute the Joint Powers Agreement, and the execution and delivery thereof shall be conclusive evidence of City approval.

3. If any amendments to the Joint Powers Agreement are deemed necessary, the Director, Office of Financial Services (or their proper designee), is hereby authorized and directed to make such amendments deemed necessary, appropriate or desirable in connection with the EAB Proj...
