Approving indemnification for a Utility Occupancy License from the Soo Line Railroad to install, maintain, and operate a sanitary sewer line underneath railroad tracks as part of the Victoria Park project.

WHEREAS, the Department of Parks and Recreation requires a Utility Occupancy License from the Soo Line Railroad to install, maintain and operate a sanitary sewer line underneath railroad tracks as part of the Victoria Park project; and
WHEREAS, the License requires the City to defend and indemnify the Soo Line Railroad Company, its parent companies, subsidiaries and affiliated companies from all claims and damages arising from the City exercise of rights under the License; and
WHEREAS, the City cannot install the required sewer line without the railroad’s permission, and the promise of indemnification serves a public purpose in that it will enable the necessary sewer line connection; now, therefore, be it
RESOLVED, that the Saint Paul City Council hereby authorizes the appropriate City officials to sign the Utility Occupancy License with the Soo Line railroad which contains an indemnification clause.
