Consenting to amendments to the RiverCentre Convention & Visitors Authority Bylaws.

WHEREAS, pursuant to authority created by 2005 Minn. Laws, Chapter 152, Art. 1, Sections 1 and 38 the City of Saint Paul, Minnesota, a municipal corporation (the “City”) entered into an Agreement, made effective January 1, 2009, and thereafter amended on January 1, 2018 (the “Agreement”), with the Saint Paul RiverCentre Convention & Visitors Authority, a Minnesota nonprofit corporation (the “RCVA”), wherein the RCVA is engaged by the City to equip, maintain, manage and operate those certain facilities commonly known as the RiverCentre complex, and to manage and operate a convention bureau to market and promote the City of Saint Paul as a tourist and/or convention destination center; and
WHEREAS, corporate Bylaws governing the RCVA were originally adopted on September 14, 2005, and were thereafter amended by the RCVA Board of Directors on June 28, 2006 and September 26, 2006 (the “Bylaws”); and
Whereas, pursuant to Article XIII of the Bylaws, the RCVA Governance Committee drafted certain amendments to the Bylaws (the “Draft Amendments”); and
Whereas, the Draft Amendments were preliminarily approved by the RCVA Board of Directors on March 28, 2019; and
Whereas, the Draft Amendments include, among others, revisions to Articles III and IV of the Bylaws; and
Whereas, Articles III and IV of the Bylaws contain provisions relating to the powers of the City Council; and
WHEREAS, Article XIII of the Bylaws requires the prior written consent of the City Council before the RCVA Board of Directors may formally amend any provision relating to the powers of the City Council; now, therefore, be it
RESOLVED that the Saint Paul City Council consents to the RCVA Board of Directors amending the Bylaws consistent with the Draft Amendments attached hereto.
