Authorizing the City of Saint Paul to enter into an agreement with Avolve Software Corp. for the creation of an electronic construction plan review system.
Body
WHEREAS, the City of Saint Paul is licensing software to allow for customers to submit construction plan review materials electronically; and
WHEREAS, one of the terms of the agreement to license the required software is an indemnification clause which requires the City to agree to take all commercially reasonable steps to ensure that users abide by the terms of the licensing agreement and indemnify the company, its officers, employees, agents and subcontractors from and against all claims, liabilities, losses, damages and costs suffered by the company arising from a breach by a City-credentialed user of the conditions of this agreement; and
WHEREAS, the software is a major component of a system that the Department of Safety and Inspections wishes to transition its existing paper-based site plan and building plan review processes to an electronic version, which will improve City productivity and public services; and
WHEREAS, the City Council finds that the promise of indemnification is appropriate to access the software. Now, Therefore, Be It
RESOLVED, that the City of Saint Paul is authorized to execute the Licensing, Maintenance, and Support Agreement with Avolve.
