Authorizing the Department of Parks and Recreation, Como Park Zoo and Conservatory, to enter into an agreement with Washington County for payments not to exceed $200 for services performed by Como Park Zoo and Conservatory education staff on June 30, 2017.
Body
WHEREAS, the Como Park Zoo and Conservatory wishes to enter into an agreement with Washington County for payments for services performed by Como Park Zoo and Conservatory Education staff for June 30, 2017, not to exceed $200; and
WHEREAS, the performances under this agreement consist of Como Park Zoo and Conservatory Education staff providing an interactive program with a live animals; and
WHEREAS, the Washington County agreement contains an indemnification clause which requires that the City agrees to notwithstanding any other provision to the contrary, the City agrees to indemnify, defend and hold harmless the County, its officers, employees and agents for any and all claims arising out of the City’s activities related to the services provided under this agreement; and
WHEREAS, failure to provide indemnification will prevent Como Park Zoo and Conservatory Education staff from delivering the above stated educational opportunities at the County Library sites; and
WHEREAS, these educational opportunities provide valuable resources for the community, benefit the public, and spread information and awareness of Como Park Zoo and Conservatory; now, therefore, be it
RESOLVED, that the appropriate City Officials are authorized to enter into the attached Agreement for Services with Washington County, which contains a promise of indemnification.
