Authorizing the Department of Parks and Recreation, Como Park Zoo and Conservatory, to enter into an agreement with Hennepin County for payments not to exceed $175 for services performed by Como Park Zoo and Conservatory education staff on March 28, 2017.
Body
WHEREAS, the Como Park Zoo and Conservatory wishes to enter into an agreement with Hennepin County for payments for services performed by Como Park Zoo and Conservatory Education staff for March 28, 2017, not to exceed $175; and
WHEREAS, the performances under this agreement consist of Como Park Zoo and Conservatory Education staff providing an interactive program with a live penguin; and
WHEREAS, the Hennepin County agreement contains an indemnification clause which requires that the City agrees to defend, indemnify and hold harmless the County, its officials, officers, agents and employees from any liability, claims, causes of action, judgements, damages, losses, costs or expenses including reasonable attorney’s fees, resulting directly or indirectly from any act or omission of the City, its officers, agents, employees or subcontractors, or anyone for whose acts and/or omissions they may be liable in the performance of the services required by this Agreement, and against all loss by reason of the failure of the City to perform any obligations under the Agreement; and
WHEREAS, failure to provide indemnification will prevent Como Park Zoo and Conservatory Education staff from delivering the above stated educational opportunities at the County Library sites; and
WHEREAS, these educational opportunities provide valuable resources for the community, benefit the public, and spread information and awareness of Como Park Zoo and Conservatory; now, therefore, be it
RESOLVED, that the appropriate city officials are authorized to enter into the attached Agreement for Services with Hennepin County, which contains a promise of indemnification.
