Authorizing the Department of Parks and Recreation, Como Park Zoo and Conservatory, to enter into an agreement with Anoka County Libraries for fee based programming by the Como Park Zoo and Conservatory Education staff in 2016.
Body
WHEREAS, the Como Park Zoo and Conservatory wishes to enter into an agreement with Anoka County Libraries for revenue generating programs performed by Como Park Zoo and Conservatory Education staff in 2016.
WHEREAS, the Anoka County Library agreement contains an indemnification clause which requires that the City agree to indemnify Anoka County Libraries for any claims, loss, costs, liabilities and expenses, including attorney's fees, arising from any infringement by reason of staff performers' illegal use of copyrighted material; and
WHEREAS, the performances under this agreement consist of Como Park Zoo and Conservatory Education staff presenting educational programs using live plant and/or animals including reading a book and telling an interactive story based on children's literature which involves little to no risk of copyright infringement; and
WHEREAS, failure to provide indemnification will hinder revenue gains for the Como Park Zoo and Conservatory Education; and
WHEREAS, these educational opportunities provide valuable resources for the community, benefit the public, and spread information and awareness of the Como Park Zoo and Conservatory; and
WHEREAS, the City Council finds that their is a public purpose for the expenditure of money in the form of an indemnification of the Anoka County Library; now, therefore, be it
RESOLVED, that the appropriate city officials are hereby authorized to enter into the agreement with Anoka County Libraries, which contains a promise of indemnifation.
