Authorizing the Office of Technology and Communications to enter into an agreement with Acquia, Inc. for web hosting services.

 

Body

 

WHEREAS, The Office of Technology and Communications seeks to enter into an agreement that includes an indemnification clause with Acquia, Inc., a Cloud provider of technology services specializing in Software as a Service for web hosting services.

 

WHEREAS, The Agreement deviates from terms required in Resolution 15-1201 as follows:

 

Paragraph 5.4 states that the vendor has sole discretion over their assigned staffing.  Acquia is a Cloud provider of technology services specializing in Software as a Service.  Saint Paul would like to consume a Web Content Management service.  To that end, assigned staffing is not relevant as Saint Paul is consuming a cloud based technology service and not individual professional services. 

 

Paragraph 12.3 only allows termination for cause, but such termination is authorized under specified circumstances after 60 days.  Furthermore, the contract runs until the end of 2016, slightly longer than one year after go-live.  The City retains the option to discontinue hosting services after 2016.  Accordingly, the risk to the City of entering this agreement without a provision for termination at will is mitigated. 

 

THEREFORE BE IT RESOLVED, that the proper City officials are hereby authorized and directed to execute an agreement for web hosting services with Acquia, Inc. which includes an indemnification clause, as provided by the Office of Technology and Communications.
