Title
Amending the 2014 budget in the amount of $9,000,000 to accept a grant from the State of Minnesota for the renovation of the Twin Cities Public Television Building; and approving and authorizing execution of State Grant Agreement and related documents, Ground Lease, Lease/Use Agreement and related documents, and an amended Cultural STAR Grant Agreement, Ward 2, District 17.
Body
WHEREAS, in 2014 the Minnesota Legislature approved a $9,000,000 grant for the Renovation  of the Twin Cities Public Television Building in downtown Saint Paul ("Project"), by Chapter 294, Article 1, Section 21, Subd. 20 ("Grant"); and
WHEREAS, City of Saint Paul staff has negotiated the terms and conditions of a Ground Lease, with Twin Cities Public Television, Inc., and a Lease/Use Agreement with Twin Cities Public Media Commons, and other related documents (collectively the "Lease Documents") and a General Obligation Bond Proceeds Grant Agreement-Construction Grant,  and other related documents with the Department of Employment and Economic Development for the State of Minnesota (collectively the "State Construction Grant Documents"); and
WHEREAS, City staff has reviewed the terms and conditions of a sublease between Twin Cities Public Media Commons, as sublessor, and Twin Cities Public Television, Inc, as sublessee, and finds it to be consistent with the Lease Documents ("Sublease"); and
 
WHEREAS, the Mayor, pursuant to Section 10.07.1 of the Charter of the City of Saint Paul, does hereby certify that $9,000,000 in funds are available for appropriation in excess of those estimated in the 2014 budget and recommends the changes to the 2014 budget identified on Attachment A; and
WHEREAS, the City and TPT have executed a Cultural STAR Grant Agreement dated November 16, 2011 for use in the Project and the timelines, compliance documents and eligible uses of funds for construction of the Project need to be updated to reflect the current schedule and scope of the Project as set forth in an amendment to the Cultural STAR Grant Agreement ("Amendment to STAR Grant"); and
 
WHEREAS, a public hearing on this resolution was held before the Saint Paul City Council on October 15, 2014 and the City Council finds a public purpose for the actions taken in this resolution.
NOW, THEREFORE, BE IT RESOLVED that the City of Saint Paul City Council hereby accepts the $9,000,000 grant from the State of Minnesota, approves the use and operation of the Twin Cities Public Television Building for purposes of the State Program as described in the State Construction Grant Documents, approves the Lease Documents, the State Construction Grant Documents and the Amendment to Cultural STAR Grant, and approves the Sublease, and the proper officials of the City are hereby authorized and directed to execute the Lease Documents, the State Construction Grant Documents and Amendment to Cultural STAR Grant on behalf of the City.
BE IT FURTHER RESOLVED, that the City Council approves the changes to the 2014 budget as identified in Attachment A.
BE IT FURTHER RESOLVED, that City staff and legal counsel for the City are further directed and authorized to take all actions necessary to implement this Resolution and the City's Director of Department of Planning and Economic Development is authorized to execute such documents, consents and instruments in connection therewith including without limitation annual approvals of operating budgets of the Project's operator and other actions required by the State Construction Grant Documents.
