Authorizing the Department of Parks and Recreation to enter into an agreement with the Metropolitan Library Services Agency (MELSA) for payments for service performed by Como Education staff from June 1 - August 31, 2014.
Body
WHEREAS, the Parks and Recreation Department wishes to enter into an agreement with the Metropolitan Library Services Agency (MELSA) for payments for services performed by Como Education Staff from June 1 - August 31, 2014; and
WHEREAS, the MELSA agreement contains an indemnification clause which requires that the City agree to indemnify MELSA for any claims, loss, costs, liabilities and expenses, including attorney's fees, arising from any infringement by reason of staff performers' illegal use of copyrighted material; and
WHEREAS, the performances under this agreement consist of Como Education Staff reading a book, telling an interactive story based on a book, bringing program animals to libraries and providing education about the animal, and other similar activities and involve little to no risk of copyright infringement; and
WHEREAS, failure to provide indemnification will prevent the Como Education staff from being paid for their educational appearances at MELSA library sites; and
WHEREAS, these educational opportunities provide valuable resources for the community, benefit the public, and spread information and awareness of the Como Zoo; now, therefore, be it
RESOLVED, that the appropriate city officials are authorized to enter into the attached Letter of Agreement with MELSA, which contains a promise of indemnification.
