Authorizing the City's conveyance of a permanent Thermal Line Easement to District Energy St. Paul for the installation and maintenance of thermal heating and cooling service lines through the George Latimer Central Library to serve the adjoining property at 80 West Fourth Street.

WHEREAS, the City of Saint Paul ("City") owns and operates the George Latimer Central Library property located at 90 Fourth Street West in the city of Saint Paul (the "Library Property"); and
WHEREAS, District Energy St. Paul, Inc. ("District Energy") delivers thermal energy to the Library Property through hot and cold water pipes located in the basement of the Library Property; and
WHEREAS, District Energy desires to deliver thermal energy to the property located at 80 Fourth Street West ("80 West Property"), which adjoins the Library Property along its easterly boundary; and District Energy further desires an easement from the City through a portion of the Library Property for the installation and maintenance of hot and cold water service ("Thermal Lines") to the 80 West Property; and
WHEREAS, the City has agreed to permit the installation of the Thermal Lines within the Library Property to serve the 80 West Property; and
WHEREAS, the City and District Energy have agreed that the City will convey a permanent easement for said Thermal Lines within the Library Property, as documented Exhibit A attached hereto ("Thermal Line Easement"), and that District Energy will compensate the City $2,000.00 for said easement and administrative fees; now, therefore, be it
RESOLVED, that the City Council hereby authorizes and directs the proper city officials to execute the Thermal Line Easement in a form and content substantially as set forth in Exhibit A attached hereto, and to accept compensation from District Energy, to be deposited into the proper city account as determined by the Office of Financial Services.
