Authorizing execution and recording of a Memorandum of Plaza License, Operations and Maintenance Agreement between the City and Ecolab USA Inc.

WHEREAS, Ecolab USA Inc. ("Ecolab") is fee owner of certain real property located at 1 Ecolab Place, Saint Paul, Minnesota, and legally described in Exhibit A attached hereto (“Ecolab Global Headquarters”); and
WHEREAS, the City of Saint Paul ("City") is fee owner of certain real property located at 390 Washington Street, Saint Paul, Minnesota, and legally described in Exhibit B ("Hamm Plaza Property"); and
WHEREAS, on August 2, 2023 Ecolab and the City executed a Plaza License, Operations and Maintenance Agreement (“License Agreement”) for the benefit of the Ecolab Global Headquarters and the Hamm Plaza Property, and pursuant to the License Agreement, Ecolab and the City defined rights and obligations of both parties related to landscape improvements to said properties and to the Washington Street right-of-way situated between said properties, as more particularly set forth in the License Agreement; and
WHEREAS, Ecolab and City now desire to enter into a Memorandum of Plaza License, Operations and Maintenance Agreement ("Memorandum"), attached hereto as Exhibit C, and to record the Memorandum in the real property records of Ramsey County, Minnesota to provide notice to third parties of the License Agreement; now, therefore, be it
RESOLVED, that the Mayor and City Council hereby authorize the proper City officials to execute the Memorandum and file it with the Ramsey County Office of the Recorder and/or Registrar of Titles.
