Approving the Engagement Letter between the City and Brian T. Grogan and his firm Cozen O’Connor as special counsel representing the City for its ongoing Comcast cable-franchise negotiations.

WHEREAS, On December 6, 2023, the City passed Resolution 23-1832 approving Brian T. Grogan and his firm, Moss & Barnett, to act as special outside counsel to assist the City with its Comcast franchise negotiations; and
WHEREAS, in 2025, Brian T. Grogan’s firm Moss & Barnett was acquired by the law firm Cozen O’Connor; and
WHEREAS, part of that acquisition requires Brian T. Grogan to notify the City about this acquisition and allow the City to review that acquisition for potential conflicts and any other relevant issues, which are memorialized in the attached Engagement Letter; and
WHEREAS, the City Attorney’s Office reviewed the attached Engagement Letter (Exhibit #1) and negotiated certain favorable terms for the City within that letter with Cozen O’Connor; and
BE IT RESOLVED, the Council of the City of Saint Paul, upon request of the City Attorney, agrees to continue retaining Brian T. Grogan and his new firm Cozen O’Connor for the purposes of providing legal advice, assistance, and representation to the City of Saint Paul in its ongoing cable-franchise negotiations under the terms of the parties’ 2016 Retainer Agreement, City Council Resolution 22-1235, the 2023 Retainer Agreement between the City of Saint Paul and Brian T. Grogan and his previous firm Moss & Barnett, and the current Engagement Letter.
