City Council approval of the Development Agreement, Use Agreement, and Disbursement Agreement between the Department of Parks and Recreation and The Sanneh Foundation for Conway Park.
Body

WHEREAS, the Saint Paul Parks and Recreation Commission ("Commission") is an appointed body established to advise the Mayor and City Council on long-range and city-wide matters related to Parks and Recreation; and

WHEREAS, the State of Minnesota has awarded the City of Saint Paul a grant for $2,500,000 for design, site preparation, preconstruction services, and construction of a new structure at Conway Park; and

WHEREAS, the City of Saint Paul and The Sanneh Foundation have negotiated a Development Agreement governing the design, development, and construction of improvements at Conway Park necessary to support the grant-funded project; and

WHEREAS, the City of Saint Paul and The Sanneh Foundation have also negotiated a Use Agreement governing the operation, programming, and ongoing use of the Premises, including delivery of the Government Program associated with the grant award; and

WHEREAS, the City of Saint Paul, The Sanneh Foundation, and Guaranty Commercial Title, Inc. have negotiated a Disbursement Agreement governing the administration and disbursement of State Grant funds and private funds for the construction of improvements at Conway Park; and

WHEREAS, the Development Agreement, Use Agreement, and Disbursement Agreement are interdependent and incorporate one another by reference, and together establish the full scope of responsibilities of the parties with respect to the state-funded expansion project and the ongoing Government Program; and

WHEREAS, successful implementation of the Government Program is dependent upon the timely completion of the improvements contemplated in the Development Agreement, and failure to perform under either agreement would materially impact the overall public purpose of the project; and
