Approval and Authorization of Agreements Associated with Central Corridor Business Marketing Program
Body
WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the "HRA") is a public body corporate and politic established pursuant to the provisions of Minnesota Statutes, Section 469.001, et seq. (the "Act"); and
WHEREAS, the HRA has the power to engage in development or redevelopment activities under Minnesota law and the HRA is authorized to engage in activities relating to (a) housing projects and development, (b) removal and prevention of the spread of conditions of blight or deterioration, (c) bringing substandard buildings and improvements into compliance with public standards, (d) disposition of land for private redevelopment, and (e) improving the tax base and the financial stability of the community, and to engage in the aforementioned activities when these needs cannot be met through reliance solely upon private initiative and which can also be undertaken in targeted neighborhoods; and is authorized to create redevelopment projects as defined in Minn Stat Section 469.002, Subd. 14 and to enter into joint powers agreements with other public entities; and
WHEREAS, HRA staff has negotiated with the Metropolitan Council ("Met Council") a Joint Exercise of Powers Agreement ("Met Council JPA") to implement a business marketing program ("Program") associated with the Central Corridor Light Rail Transit Project ("Project"); and
WHEREAS, Met Council has agreed to make available up to $1,200,000 to implement the Program, and the governing body of the Met Council has approved the Met Council JPA; and
WHEREAS, the terms of the Program are more fully described in the staff report accompanying this Resolution and in the Met Council JPA which is available for review in the offices of HRA staff; and
WHEREAS, the HRA desires to enter into the Met Council JPA to implement the Program; and
WHEREAS, Met Council issued a Request for Proposals for the business marketing services and as a result of this competitive procurement process Met Council recommends that Mod and Company, LLC be retained as the consultant to perform such services, and HRA staff has further negotiated an agreement with Mod and Company, LLC ("Mod Agreement") to provide business marketing services to implement the Program; and
WHEREAS, since a portion of the services to be performed under the Mod Agreement will relate to businesses in Minneapolis the HRA desires to enter into a joint powers agreement with the City of Minneapolis ("Minneapolis JPA") to authorize those services;
NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota, that:
1. The HRA Board hereby approves the Met Council JPA, Mod Agreement, and Minneapolis JPA, and the HRA Chair/Commissioner and Director, Office of Financial Services are hereby authorized and directed to execute the Met Council JPA, Mod Agreement and Minneapolis JPA and all necessary documents and instruments in connection with such agreements and negotiate any further terms necessary to implement the Program provided that such amendments are acceptable in form and substance to the Saint Paul City Attorney.
2. The HRA budget is hereby amended and approved as detailed in Attachment A.
3. The HRA Executive Director, staff and legal counsel for the HRA are further directed and authorized to take all actions necessary to implement this Resolution and the HRA's Executive Director is authorized to execute any other agreements, documents and instruments in connection therewith.
