Pertaining to Amendment No. 1 to Contract 4889 with Waterfall Security Solutions Ltd. to establish a five-year term and add support for the OPC-UA connector module.

WHEREAS, the Board of Water Commissioners of the City of Saint Paul (the “Board”) and Waterfall Security Solutions Ltd. (“Waterfall”) are parties to Contract 4889, effective October 1, 2024, for the provision of a Waterfall Unidirectional Security Gateway and related annual support services, which Agreement did not include a fixed term; and
WHEREAS, on September 9th, 2025 the Board adopted Resolution 25-1240 directing staff to conduct a Request for Information (RFI) to identify and consider alternative solutions to ensure the Board stays on the forefront of security; and
WHEREAS, on January 13th, 2026, the Board adopted Resolution 26-77 directing staff to issue a competitive Request for Proposal (RFP) for a secure OT to IT data transfer solution, where an evaluation committee shall evaluate proposals received in response to the RFP and return to the Board of Water Commissioners with a recommendation for award or other appropriate action at a future meeting; and
WHEREAS, the evaluation committee has completed the evaluation of the submitted proposals in accordance with the City of Saint Paul procurement policies and standards whereas Waterfall Security Solution Ltd. (“Waterfall”) received the event award based on the proposal being the most advantageous to the City, based on the RFP criteria; and
WHEREAS, staff has prepared Amendment No. 1 to Contract 4889 setting forth the terms and conditions for the extended term of five (5) years ending on August 31, 2031 and added OPC-UA connector module support; now, therefore, be it
RESOLVED, that the Board of Water Commissioners of the City of Saint Paul hereby approves Amendment No. 1 to Contract 4889 with Waterfall Security Solutions Ltd., establishing a five-year contract term ending August 31, 2031, and adding Annual Standard Support Plan coverage for the OPC-UA connector module at a total cost not to exceed $70,376.25, in substantially the form submitted, and that the proper officers of the Board are hereby authorized and directed to execute said Amendment on behalf of the Board.
