Authorization to Amend Existing Lease with Frogtown Entrepreneur Center, LLC (Frogtown) and Neighborhood Development Center, Inc. (NDC) and to Enter into a License Agreement with The Three Gentlemen, LLC dba Big Daddy's Barbeque, Frogtown, and NDC for Use of 621 University Avenue West, Planning District 7, Ward 1.

WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the "HRA") is a public body corporate and politic established pursuant to the provisions of Minnesota Statutes, Section 469.001, et seq. (the "Act"); and
WHEREAS, the HRA has the power to engage in development or redevelopment activities under Minnesota law and the HRA is authorized to engage in activities relating to (a) housing projects and development, (b) removal and prevention of the spread of conditions of blight or deterioration, (c) bringing substandard buildings and improvements into compliance with public standards, (d) disposition of land for private redevelopment, and (e) improving the tax base and the financial stability of the community, and to engage in the aforementioned activities when these needs cannot be met through reliance solely upon private initiative and which can also be undertaken in targeted neighborhoods; and is authorized to create redevelopment projects as defined in Minnesota Statute Section 469.002, Subd. 14; and
WHEREAS, the HRA has leased real property located at 621 University Ave, Saint Paul, Minnesota ("Property") to Frogtown Entrepreneur Center LLC ("Frogtown") and Neighborhood Development Center, Inc ("NDC") by a lease dated August 12, 1997 and amended on July 31, 2007 ("Lease") for use as a surface parking lot; and
WHEREAS, Frogtown has leased to The Three Gentlemen, LLC dba Big Daddy's Barbeque ("Big Daddy's") space in an adjacent building located at 625 University Avenue, Saint Paul, Minnesota ("Frogtown Property") for use as a restaurant and catering service; and
WHEREAS, Big Daddy's desires to create a door on the east side of the building on the Frogtown Property and enter onto the HRA Property and make certain improvements and engage in certain activities as more fully described in the staff report accompanying this Resolution ("Permitted Activities"); and
WHEREAS, Frogtown, NDC and Big Daddy's (collectively as the "Licensee") are requesting the HRA to grant a license for access to the HRA Property to engage in the Permitted Activities on the terms described in the staff report and proposed license agreement ("License Agreement") and to amend the Lease to reflect the terms of the License Agreement ("Second Amendment to Lease"); and
WHEREAS, the HRA Board determines that there is proper public purpose to approve the License Agreement and Second Amendment to Lease.
NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota, that:
1. The HRA Board hereby approves the License Agreement and Second Amendment to Lease in substantially the forms submitted to this Board for consideration and the HRA Executive Director and Director, Office of Financial Services are hereby authorized and directed to execute the License Agreement and Second Amendment to Lease and agree to any modifications thereof approved by the City Attorney.
2. The Executive Director of the HRA and HRA staff are hereby authorized and directed to take all necessary action to effectuate this Resolution.
