Authorizing the Police Department to accept an agreement with a software services provider that includes an indemnification clause and an out-of-state choice of law and venue.

WHEREAS, the Saint Paul Police Department would like to subscribe to a business plan and calendar application program with Smartsheet; and
WHEREAS, the requisition was approved by the required departments and a purchase order is to be issued for this software application that will allow better communications in the event permitting process and allow information and progress sharing in a real-time environment; and
WHEREAS, the Smartsheet terms and conditions of sale and service include a indemnification requirement and a choice of Washington State law and venue; and
WHEREAS, the City Attorney’s Office has advised that it will accept the restriction if the Police Department accepts responsibility for any additional costs associated with the choice of venue; now, therefore, be it
RESOLVED, that the city council authorizes the Human Rights and Equal Economic Opportunity office to issue a purchase order to Smartsheet for the police department subscription and license agreement for which the terms and conditions will include an indemnification and out-of-state law provision.
