Authorizing the Police Department to enter into an on line services agreement, which includes an indemnification clause, with Lexis Nexis.
Body
WHEREAS, the City of Saint Paul, Police Department requests authorization to enter into an on line services agreement with Lexis Nexis which includes an indemnification clause; and
WHEREAS, the terms and conditions also have deviations in terms from those suggested in RES 15-1201 including New York choice of law (section 5.8), the ability of the vendor to change terms without written amendment (section 5.1), and limitations on damages and remedies (sections 4.2 and 4.3); and
THEREFORE BE IT RESOLVED, that the City Council hereby authorizes Assistant Chief Kathleen Wuorinen and the proper city officials to execute and implement the agreement with Lexis Nexis which includes an indemnification clause.
