Authorizing the Fire Department to enter into Terms and Conditions with Butterfly Network Inc. which requires indemnification language for the use of their ultrasound product.

WHEREAS, the Fire Department purchased two Butterfly devices to be used by paramedics; and
WHEREAS, the Butterfly Network Inc. is a company that provides portable ultrasound imaging probes and a hosted software service for viewing, using and storing the ultrasound images and imaging studies for various medical diagnostic purposes, research, and education; and
WHEREAS, this is an application based program and the information is securely stored in the cloud and the information is shared with Regions Hospital; and
WHEREAS, Butterfly Network Inc. requires the Fire Department to agree to Terms and Conditions in order to access the application; and
WHEREAS, Butterfly Network Inc.'s Terms and Conditions include an indemnification clause which requires each party (the City and Butterfly Network Inc.) to defend the other party from and against any claim, action, proceeding, loss, liability, judgment, penalty, obligation, damage or cost; and
WHEREAS, the City Council finds that the promise of indemnification is appropriate in order to allow the Fire Department to access the Butterfly Network Inc. services; now, therefore, be it
RESOLVED, that the Fire Department is authorized to enter into the Terms and Conditions with Butterfly Network Inc. which include an indemnification clause.
